Engine X Card Rewards Terms
Effective Date: 04/17/26
These Engine X Card Rewards Terms (the “Card Rewards Terms”) are incorporated into and made part of the Engine Terms of Use, available at https://engine.com/terms-of-service (the “Terms of Use”) between you, a legal entity (“you” or “Company”) and HotelEngine, Inc., d/b/a Engine (“Engine” or “us”), together with its affiliates, assigns, (collectively, “we”, “our”, or “us”), and govern your participation in the Engine X Card rewards program (“Rewards Program”).
These Card Rewards Terms supplement the Terms of Use. For the avoidance of doubt, the Rewards Program is subject to all relevant provisions governing Engine’s provision of services to you under the Terms of Use (and constitutes a “Service” thereunder), including but not limited to, Disclaimers of Warranties and Limitation of Liability, Indemnification, Governing Law, Disputes and Attorneys’ Fees (including binding arbitration). Capitalized terms not defined herein have the meaning assigned to them in the Terms of Use. In the event of a conflict between these Card Reward Terms and the Terms of Use, these Card Rewards Terms will control.
If you are entering into these Card Rewards Terms on behalf of a business entity, you personally guarantee that you have the authority to bind the entity to Card Rewards Terms.
1. Program Overview
The Rewards Program enables Company to accrue “Rewards” based on eligible purchases made with the Engine X Card, which may be redeemed in accordance with these Card Rewards Terms.
2. Definitions
For the purposes of these Card Rewards Terms, the following terms apply:
- Administrator: An individual authorized to manage the Company Card Account and act on behalf of the Company under these terms.
- Authorized User: An individual granted access to use a Card under the Company’s Card Account, with the ability to make purchases and accrue Rewards on behalf of the Company. Authorized Users must be designated and managed by an Administrator.
- BestPrice Program (“BestPrice” or “BP”): Engine’s optional price-match program, under which eligible travel bookings may be re-priced after booking and, if a lower price is identified, the Company may receive a travel credit for the price difference, subject to the Best Price Program Terms available at https://engine.com/bestprice-terms.
- Card Account: Your Engine X Card account issued by Fifth Third Bank (the “Bank”), including all associated physical or virtual cards.
- Confirmed Booking: A travel reservation (such as hotel stays or other Engine approved travel services) completed through Engine’s platform, for which payment has been processed and confirmed.
- Completed Confirmed Booking: A Confirmed Booking made through your Engine Account where:
- The booking was not canceled or refunded, and
- The traveler successfully completed the hotel stay as booked.
- Completed Confirmed Booking: A Confirmed Booking made through your Engine Account where:
A booking that is canceled, refunded or otherwise not fulfilled prior to the scheduled hotel stay does not qualify as a Completed Confirmed Booking, unless explicitly stated otherwise in these Terms (e.g., in the case of non-refundable cancellations where no refund is issued).
- Earning: The process of accruing Rewards based on Qualifying Transactions made using the Engine X Card. Rewards may accrue at different rates depending on transaction type, merchant category, or other factors as disclosed by Engine.
- Eligible Travel Transactions: Transactions made through the Engine platform for hotel bookings or other travel services explicitly identified by Engine as eligible for travel-related Rewards. Eligible Travel categories are determined by Engine and may be updated at any time at Engine’s sole discretion.
- Employee Account: A Perk Account or Personal Account, as applicable and defined below, established by, or for, an individual in connection with an existing Engine business account. “Employee Account” is used in these Card Rewards terms as a collective reference to both account types for business purposes of Section 12 (Employee Account Rewards Transfer).
- Good Standing: Your Card Account is in Good Standing when: (i) it is open; (ii) it is not past due; (iii) is not in default; and (iv) is in full compliance with these Card Rewards Terms and other applicable Program Agreements.
- Other Transactions: All Card Purchases made outside of Eligible Travel categories, including, but not limited to, dining, fuel, business subscriptions, general merchandise purchases, etc., subject to exclusions described in these Terms. Other Transactions must still meet the definition of a Qualifying Transaction to earn Rewards.
- Perk Account: A personal account established by an Authorized User or Cardholder through Engine’s platform, which may be used for individual, non-business travel that leverages Engine’s negotiated rates and benefits. Perk Accounts are made available only where the Company has elected to enable Perk Account functionality for its Authorized Users in accordance with Section 12 of these Card Rewards Terms. Perk Accounts are Company controlled; if the individual ceases to be associated with the Company, access to the Perk Account is terminated.
- Personal Account: A separate account created by an individual who is part of an existing Engine business account, using the individual’s personal email credentials, which may be used for individual, non-business travel through the Engine platform. Personal Accounts are independent of the Company’s Card Account. Personal Accounts are available only to individuals who are part of an existing Engine business account; they are not available to the general public.
- Program Agreements: Collectively: (i) these Card Rewards Terms; (ii) the Engine Terms of Use; (iii) the Issuing Bank Terms and any associated disclosures; and (iv) any applicable privacy policies or program documents governing your use of the Engine X Card and related services.
- Qualifying Transactions: Purchases of goods or services using the Engine X Card, minus any returns, chargeback or excluded transactions, that meet all of the following criteria:
- Authorized by an Administrator or Authorized User;
- Processed through a merchant or platform where the Card is accepted;
- Not categorized as ineligible under these Terms (such as cash advances, gambling, fees, etc.);
- Not made while the Card Account is suspended or not in Good Standing;
- Not fraudulent, unauthorized or disputed.
Only Qualifying Transactions are eligible to earn Rewards. Engine reserves the right, in our sole discretion, to determine whether any transaction qualifies as a Qualifying Transaction.
- Redemption: The act of applying accrued Rewards.
- Rewards: Incentives accrued by the Company based on Qualifying Transactions made using the Engine X Card. Rewards may be deemed in accordance with these Card Rewards Terms and have no cash value. Except as expressly permitted under Section 12 (Employee Account Rewards Transfer), Rewards are not transferrable, refundable or assignable.
- Travel Credit: A non-cash credit issued by Engine in connection with the BestPrice Program, representing the difference between the Engine booking price and a verified lower qualifying price, which may be applied toward future bookings on the Engine platform. Travel Credits are not rewards and are governed by the BP Terms and are separate and distinct from the Rewards Program.
3. Rewards Structure
Engine may update the categories that qualify for each Rewards rate and disclose such changes through the Engine Platform. The exact reward rate applicable will be displayed in your account dashboard.
- Up to 10% Reward Points on Eligible Travel: Rewards of up to 10% may be earned on Eligible Travel purchases made through the Engine platform. Actual rewards rates vary by transaction type and Company profile.
- 1.5% Rewards Points on All Other Qualifying Transactions: All other purchases made with your Engine X Card, outside of Eligible Travel, may earn 1.5% Rewards Points.
4. Enrollment in Rewards Program
An Administrator can enroll in the Rewards on your behalf as long as you have an Engine X Card Account (“Card Account;” including all associated physical or virtual cards) issued by Fifth Third Bank (the “Bank”) in Good Standing (as defined below). The Bank is not party to, nor has any liability to you under, these Card Rewards Terms. The Rewards Program provided hereunder is independent of services provided by the Bank to you. Engine may also provide other rewards programs unrelated to your Card Account and may aggregate rewards under any such program with the Rewards accrued hereunder.
5. Eligibility
5.1. General Eligibility.
The Rewards Program is offered at our sole discretion and to participate your Card Account must be in Good Standing. Your Card Account is in “Good Standing” as long as you fully comply with, and are not in default under, these Card Rewards Terms, the Issuing Bank Terms between you and Bank, disclosures agreed to as part of opening your Card (including any applicable privacy policies), and the Terms of Use, as each may be amended from time to time (collectively, the “Program Agreements”).
5.2. Card Accounts Not in Good Standing.
If your Card Account is not in Good Standing and you are permitted to make transactions, Engine may suspend your ability to accrue or redeem Rewards until your Card Account returns to Good Standing. If your Card Account is not in Good Standing and your ability to make transactions has been suspended, you will not accrue Rewards and you may not be able to redeem any Rewards until your Card Account returns to Good Standing. If at any time your Card Account is not in Good Standing, your accrued Rewards may be forfeited at our discretion.
5.3. Suspension or Termination for Non-Payment.
If your Card Account is suspended due to non-payment of amounts owed to Engine, Engine may immediately suspend access to, and ability to earn, accrue or redeem Rewards associated with your Card Account. If amounts owed remain unpaid and the Card Account is closed, all accrued Rewards may be permanently forfeited and may not be reinstated.
5.4. Closed Card Accounts.
If your Card Account is closed because it is not in Good Standing, for non-payment, or for any other reason, or if your Card Account is closed by you, you will forfeit any Rewards, including unredeemed Rewards and Rewards for Qualifying Transactions that have been made but have not yet been credited to your Rewards balance.
5.5. Other Conditions.
You acknowledge that the Rewards Program is a promotional program for which no consideration has been paid to you. Rewards have no cash value and are not your property. Unless and until you redeem Rewards in accordance with these Card Rewards Terms, no right, title, or interest in the Rewards has been conveyed. Rewards are not refundable, exchangeable, or replaceable. The Rewards Program is void where prohibited by federal, state, or local law.
5.6. Use.
You are responsible for how your Rewards are used and you will ensure that all Rewards are used for the Company’s business purposes only and to benefit the Company and not for personal benefit of any individual, except as expressly permitted under Section 12 (Employee Account Rewards Transfer)..
5.7. Suspension or Termination.
Engine further reserves the right to suspend or terminate your participation in the Rewards Program at any time for any reason in Engine’s sole discretion, including, but without limitation, if you (i) violate any Program Agreement or other agreements you may have with Engine or Bank; (ii) owe any past due payments to Engine or Bank; (iii) fail to make any prior required payments owed to Engine or Bank by their applicable due date; (iv) violate or act in a manner inconsistent with applicable law; (v) engage in any misuse, misconduct, or wrongdoing in connection with your Card Account, the Rewards Program, or other services offered by Engine; (vi) structure or conduct Card transactions to manufacture spend, including by engaging in self-dealing (such as using Cards to pay for products or services provided by Company, its affiliates, its beneficial owners, or other persons affiliated with Company); or (vii) engage in any fraudulent or inappropriate use of your Card(s) that is outside the typical usage of a Card. If Engine suspends or terminates your participation in the Rewards Program, you may not be able to redeem Rewards and accrued Rewards may be forfeited.
5.8. Program Limitations.
Participation in the Engine X Rewards Program is not guaranteed and may be limited based on partnership status, contractual obligations or other business considerations at Engine’s sole discretion. Engine reserves the right to enter into specific agreements with certain partners or user groups that may modify or restrict eligibility to earn Rewards under the Engine X Rewards Program. As a result, some companies or users may be ineligible to participate in the Rewards Program, either in whole or in part, based on the terms of such agreements.
5.9. Referred Account Tier Assignment.
Notwithstanding any other provision of these Card Reward Terms, certain Company accounts that are referred to Engine through a third-party relationship, partnership or similar arrangement (“Referred Accounts”) may, at Engine’s discretion, be assigned an initial Rewards tier that differs from the tier that would otherwise apply based on Company spend. Any such initial tier assignment is subject to Engine’s standard tier recalculation process; Engine reserves the right to reassign any Referred account to the Rewards tier corresponding to the Company’s actual spend at any time, including on a date or schedule determined by Engine in its sole discretion. Tier reassignment will be based on the greater of the Company’s current calendar-year spend or prior calendar-year spend on Eligible Travel, measured against Engine’s standard tier thresholds. If spend data is unavailable for both the current and prior calendar year, the Company will be assigned to the default entry-level tier.
5.10. Interaction with the Best Price Program.
If the Company elects to participate in the Best Price Program with respect to a booking, the Company agrees to forfeit any Rewards that have accrued or would otherwise accrue on the underlying Eligible Travel transaction. Submission of a BestPrice claim constitutes the Company’s irrevocable election to receive a Travel Credit under the BP Terms in lieu of Rewards on that booking.
Rewards and Travel Credits may not be combined, stacked, or applied to the same price difference or booking benefit. The Company may not receive both Rewards and a Travel Credit on the same booking. If a BestPrice claim is approved, any Rewards previously accrued on that booking will be reversed and deducted from the Company’s Rewards balance. The reversal will be reflected in the Company’s Rewards balance within a reasonable period following approval of the claim.
Participation in the Best Price Program is optional and governed solely by the Best Price Program Terms, which are incorporated by reference for purposes of this section.
6. Migration from Direct Bill Rewards Program
If your Company previously participated in the Engine Direct Bill Rewards Program, your account and any associated balances, booking, invoices and reward points will be migrated to the Engine X Platform. The following terms apply to any such migration:
6.1. Transfer of Rewards and Activity.
Any unredeemed rewards or points from your Direct Bill Rewards Program will automatically transfer to your Engine X Card Account and will appear in your Engine X Rewards balance. All transferred rewards will retain their prior value and will thereafter be governed exclusively by these Engine X Card Rewards Terms.
6.2. Pending Bookings and Invoices.
Any eligible bookings, invoices, or transactions that were initiated but not fully processed under your Direct Bill account will be migrated to your Engine X Card Account. Such activity will accrue and redeem rewards under the Engine X program once payment and completion requirements are met.
6.3. Continuity of Rewards.
Engine X will ensure that rewards associated with migrated activity are properly recognized and that no duplicate rewards are issued for the same booking or transaction.
6.4. Program Governance.
After account migration, all new and migrated reward balances, accruals, and redemptions are subject solely to these Engine X Card Rewards Terms. Direct Bill Rewards program terms will no longer apply.
7. Modification of These Card Rewards Terms
Engine reserves the right to modify these Card Rewards Terms at any time. Engine will provide you with notice of any material changes in advance of such changes being effective. Engine may provide you with a notice of any such revisions through Engine application or by emailing you at the email address that Engine has on file for you. Your continued participation in the Rewards Program after any change to these Card Rewards Terms constitutes your agreement to be bound by any such changes. We reserve the right to correct inaccurate Rewards values represented on billing statements or our website, at our sole discretion. The Rewards Program may be changed (added to, modified, or deleted) by us at any time, including without limitation amendments to the definition of Qualifying Transactions. Any revisions may affect your ability to accrue Rewards or redeem Rewards.
8. Accruing Rewards
Rewards are earned based on Qualifying Transactions made using the Engine X Card. Among these, Eligible Travel transactions made through the Engine platform earn the highest Rewards rates, as disclosed in your Engine account. All other qualifying transactions may earn a flat reward rate, such as 1.5%.
8.1. Qualifying Transactions.
Only Qualifying Transactions are eligible to earn Rewards. You will accrue Rewards on purchases of products and services with merchants, minus returns, disputed charges, unauthorized charges, illegal or fraudulent charges or refunds, made with a Card by you via an Authorized User of the Card Account (collectively, the “Qualifying Transactions”). Buying products and services from approved merchants with your Card(s), in most cases, will count as a Qualifying Transaction; however, the following types of transactions are not eligible for Rewards will not accrue Rewards:
- Any personal, family, or household use;
- Balance transfers;
- Cash advances or cash-like transactions;
- Traveler’s checks;
- Currency exchanges;
- Money orders or wire transfers;
- Lottery tickets, casino gaming chips, race track wagers, or similar betting transactions;
- Interest;
- Pending, unauthorized, or fraudulent charges;
- Fees of any kind, including an annual fee, if applicable; and
- Any Eligible Travel transaction for which a BestPrice claim has been approved and a Travel Credit issued under the BestPrice Program (see Section 5.8).
Any Card transaction conducted or effectuated while your Card Account is not in Good Standing does not qualify as a Qualifying Transaction, unless otherwise permitted by us. We reserve the right to determine, in our sole discretion, whether a particular transaction is a Qualifying Transaction.
8.2. Eligible Travel Transactions.
Eligible Travel refers to Qualifying Transactions made through the Engine platform for hotel stays, lodging, or other approved travel-related services. These purchases earn the highest available Reward rates (up to 10%), as disclosed via the Engine dashboard. To be eligible:
- The travel must be booked directly through Engine;
- The transaction must meet all criteria of a Qualifying Transaction; and
- Rewards will accrue only after the travel has been completed and payment obligations have been satisfied.
- Notwithstanding the foregoing, if the Company submits an approved BestPrice claim with respect to an Eligible Travel transaction. Rewards will not accrue (or if previously accrued, will be reversed) on such transaction in accordance with Section 5.8.
The categories of Eligible Travel are determined by Engine and may be updated at any time. Purchases from third-party travel platforms or unrelated merchants are not considered Eligible Travel.
8.3. Rewards Rates and Tiers.
You will accrue Rewards for each Qualifying Transaction based on the transaction type and the Rewards rate disclosed through your Engine account. Rewards rates are set by Engine and may vary between:
- Eligible Travel Transactions: which earn the highest Rewards rates (up to 10%); and
- Other Qualifying Transactions: which generally earn a flat Rewards rate (such as 1.5%).
Engine may also apply different rates based on the Company’s or Authorized User’s participation level or tier. We may provide Company with the option of electing to qualify for tiers for Company as a whole or for each Authorized User to qualify for different tiers. Tier eligibility is determined solely in our discretion and may be changed by us, including retroactively, such as if we suspect abuse. Information about rewards rates and tiers will be made available to you through your Engine dashboard.
8.4. Accrual.
Rewards will occur upon the later of the: (i) date that travel is completed, if the Qualifying Transaction is for Eligible Travel; and (ii) the date which Company satisfies its obligation to pay Bank for the Qualifying Transaction. Rewards will accrue once a Qualifying Transaction has cleared/been completed, unless the booking was cancelled without a refund; in the case of a non-refundable cancellation, Rewards will accrue after the transaction clears even if travel does not occur.. We may round the number of Rewards awarded based on Qualifying Transactions up or down in a manner determined at our sole discretion. We may further condition when and how you can accrue Rewards.
8.5. Rewards Balance.
Engine’s platform serves as the final record of your Rewards activity. This includes the amount of Rewards you: (i) have available for redemption; (ii) have redeemed; and (iii) will be awarded on Qualifying Transactions. Rewards may be aggregated at the Company or at Authorized User level, and be reallocated across Authorized Users, as we may permit.
8.6. Reversal of Rewards.
Engine may reverse or deduct Rewards from the Company Rewards Balance under the following circumstances:
- Rewards were inadvertently awarded on a non-Qualifying Transaction, or otherwise awarded in error;
- A Qualifying Transaction is refunded, reversed, disputed, or subject to a chargeback;
- An Eligible Travel transaction is cancelled and a refund is issued;
- The Company elects to participate in the Best Price Program with respect to a booking, and Rewards are replaced by a Travel Credit or other benefit under the Best Price Program Terms.
If a travel booking is cancelled but no refund is issued (such as in the case of a non-refundable booking), and the related transaction otherwise qualified, Rewards will not be reversed. Engine reserves the right to make adjustments at any time to this section.
8.7. Rewards Maximums.
There is no annual or lifetime maximum on the amount of Rewards you can accrue. However, Engine reserves the right to introduce such limits in the future with prior notice, in accordance with the Modification of Terms section.
8.8. Foreign Transactions.
If you make a Qualifying Transaction in a foreign currency, the amount of Rewards awarded will be calculated using the transaction amount after it has been converted into U.S. dollars. The conversion rate is determined by the applicable payment network.
9. Additional Rewards
From time-to-time, we may introduce promotions to allow you to receive Rewards in additional ways. All other promotions will be subject to any additional terms and conditions specified in the terms of the promotional offer and these Card Rewards Terms, unless explicitly stated otherwise.
10. Redeeming Rewards
10.1. Redemption.
Rewards can be redeemed at any time as a statement credit applied to the current balance on your Card Account (“Card Account Balance”) or may be applied to Confirmed Bookings. Rewards accrued based on Qualifying Transactions made in a given statement period cannot be applied to the statement covering such period.. The redemption rate for Rewards may vary depending on the redemption method elected. We may change Rewards redemption ratios or revoke availability of a redemption method in our sole discretion with or without notice. Once you request a Rewards redemption, you cannot cancel or otherwise revoke the request. We reserve the right to reject any redemption request if we cannot verify your identity or Card Account information. You are solely responsible for ensuring that any actions taken by authorized Users or Administrators to redeem Rewards associated with your Card Account do not violate Company policies or rules and any applicable industry practice, ethical obligations, or laws or regulations applicable to your specific business. We are not responsible for unauthorized redemptions of Rewards associated with your Card Account.
For the avoidance of doubt, Travel Credits issued under the BestPrice Program are not Rewards and cannot be redeemed through the Rewards Program. Travel Credits are governed exclusively by the BP Terms.
10.2. Partial Redemptions.
If your Rewards balance exceeds your Card Account Balance or the cost of the Confirmed Booking, you can only apply your Rewards up to the amount of your Card Account Balance or cost of the Confirmed Booking, as applicable. You may choose to apply only a portion of your accumulated Rewards to your Card Account Balance or a Confirmed Booking at a time. Any portion of your Rewards balance not applied will remain, unless otherwise canceled or expired in accordance with these Card Rewards Terms.
10.3. Other Balances.
Rewards cannot be applied to your other outstanding credit obligations to Bank, Engine or its affiliates, or third parties, except as specified herein.
10.4. Transferability.
Rewards are non-transferable and cannot be redeemed by anyone other than the Company, except as expressly permitted under Section 12 (Employee Account Rewards Transfer).. Rewards may not be transferred or assigned to any other party (including a transfer upon death or as part of a domestic relations matter), and any attempt to do so shall be void and of no legal effect, unless such transfer is made in accordance with Section 12. The sale, assignment or barter of any Rewards, other than by us, is expressly prohibited.
11. Expiration of Rewards
Rewards will expire if, during any rolling 12-month period, the Company has not made any Qualifying Transactions or any completed Confirmed Bookings, and no legitimate pending activity exists. It is the Company’s responsibility to monitor activity and ensure continued eligibility. Eligible Rewards cannot be reinstated.
The following activities will prevent expiration:
- Qualifying Activity (Qualifying Transactions or completed Confirmed Bookings)
- Legitimate Pending activity (future-dated, non-canceled bookings created within the last 12 months); this ensures rewards are not forfeited while previous bookings are completed.
12. Employee Account Rewards Transfer
12.1. Overview
Companies may elect to enable Employee Account Rewards Transfer functionality for their Authorized Users. Where enabled, the Company may authorize the transfer of accrued Rewards from the Company’s Card Account Rewards balance to the Employee Accounts of the Company’s designated Authorized Users or Cardholders (“Employee Account Rewards Transfer”). For the avoidance of doubt, the Employee Account Rewards Transfer is a Company directed allocation or commercially earned Rewards as an employee benefit.
Rewards may be transferred to either of the following Employee Account types:
- Perk Accounts. Perk Accounts are Company controlled accounts through which employees access Engine’s platform for personal travel as a Company-directed benefit. Perk Accounts are available only where the Company has elected to enable Perk Account functionality. If the individual ceases to be associated with the Company, access to the Perk Account is terminated, including access to any unredeemed transferred Rewards therein.
- Personal Accounts. Personal Accounts are separate, employee-controlled accounts created by individuals who are part of an existing Engine business account, using their personal email credentials. Personal Accounts are available only to individuals who are part of an existing Engine business account and are not available to the general public.
In all cases, an Employee’s Account exists only as an extension of an existing Engine business relationship and is not available to the general public.
12.2. Company Election and Authorization
Employee Account Rewards Transfer is an optional feature. To enable this feature, the Company must affirmatively opt in through its Engine account settings or by written request to Engine. Only the Administrator may enable or disable this feature. By enabling Employee Account Rewards Transfer, the Company (i) authorizes Engine to transfer designated Rewards from the Company’s Rewards balance to specified Employee Accounts; (ii) acknowledges that transferred Rewards become available for use by the Employee Account holder for personal travel booked through the Engine platform; and (iii) confirms that the decision to transfer Rewards is made at the Company’s sole discretion as a benefit to its employees and is not required or directed by Engine.
12.3. Transfer Mechanics
Rewards transfers to Employee Accounts will be processed by Engine upon the Company’s instruction as communicated through Engine’s designated process. Transfers are final and irrevocable once processed. The Company must have a sufficient Rewards balance to cover the requested transfer at the time the transfer is submitted. Engine may establish minimum or maximum transfer amounts and frequency limits, which will be communicated through the Engine platform.
12.4. Use of Transferred Rewards
Once transferred to an Employee Account, Rewards may be used by the Employee Account holder solely for personal travel bookings made through the Engine platform. Transferred Rewards retain no cash value, may not be further transferred or assigned by the Employee Account holder to any third-party, and may not be redeemed for cash, statement credits or any purpose other than Engine platform travel bookings. Transferred Rewards remain subject to all applicable expiration, forfeiture and program rules set forth in these Card Rewards Terms.
12.5. Nature of Transfer
The Employee Account Rewards Transfer is a Company-directed allocation of promotional Rewards earned through the Company’s commercial charge card activity. Transferred Rewards: (i) are promotional incentives with no cash value; (ii) do not constitute a consumer credit product or consumer lending arrangement of any kind; and (iii) are provided solely as a Company authorized employee benefit.
12.6. Company Responsibility
The Company is solely responsible for (i) determining which Authorized Users of Cardholders are eligible to receive Rewards through the Employee Account Rewards Transfer; (ii) ensuring that all transfers comply with the Company’s internal policies, applicable industry standards, ethical obligations and all applicable laws and regulations; (iii) any tax reporting obligations that may arise from the transfer of Rewards to individual employees, including any obligations to treat transferred Rewards as taxable compensation; and (iv) communicating the terms and limitations of the Employee Account Rewards Transfer to its employees. Engine is not responsible for unauthorized, erroneous or disputed Employee Account Rewards Transfers initiated by the Company or its Administrator.
12.7. Suspension, Modification or Termination
Engine reserves the right to suspend, modify or terminate the Employee Account Rewards Transfer feature at any time, for any reason, with or without notice. Upon termination of the Employee Account Rewards Transfer feature, any Rewards previously transferred to Employee Accounts and not yet redeemed may, at Engine’s discretion, be subject to expiration, forfeiture or return to the Company’s Rewards balance.
13. Audits
We reserve the right to audit your Card Account for compliance with these Card Rewards Terms. In the event that the audit reveals discrepancies, the processing of Rewards may be forfeited or delayed until such discrepancies are resolved.
14. Authorization
You consent and authorize us, our affiliates, or any non-affiliated third parties with whom we contract to manage the Rewards Program, to share information about you and the Rewards Program, as necessary, to effect, administer, enforce, service, or fulfill the terms of the Rewards Program.
15. Taxes
Rewards earned under this Program are promotional in nature and have no cash value; Rewards are not considered the property of the Company until they are redeemed in accordance with these Card Rewards Terms.
The Company is solely responsible for any tax liability, including disclosure requirements, related to your participation in the Rewards Program. In some cases, applicable law may require us to report statement credits awarded through the Rewards Program as income to the Internal Revenue Service, as well as state and local tax authorities. We do not provide tax advice. Please consult your tax advisor if you have any questions about your specific business or tax situation.
