WEX Co-Marketing Promotion
Terms & Conditions
Effective Date: June 30, 2026
1. Promotion Overview
1.1. The WEX Co-Marketing Promotion (the “Promotion”) is offered by HotelEngine, Inc., d/b/a Engine (“Engine,” “we,” “us,” or “our”) in connection with a co-marketing initiative with WEX Inc. (“WEX”). Travel Credits (as defined below) are offered to qualifying WEX customers who sign up for the Engine platform and complete a product demonstration.
1.2. By participating in this Promotion, you agree to be bound by these Terms and Conditions, as well as Engine’s standard Terms of Service and Privacy Policy, which are incorporated herein by reference. In the event of any conflict between these Terms and Conditions and the Terms of Service, these Terms and Conditions shall control.
2. Eligibility
2.1. The Promotion is open to any individual who (a) is a customer of WEX, (b) receives the WEX co-marketing email during the Promotion Period, (c) signs up for a new Engine account, and (d) completes a product demonstration of the Engine platform with an Engine account executive or Engine partnerships team member (each, a “Demo”) during the Promotion Period.
2.2. Excluded Parties: Employees of Engine and WEX and their immediate family members are not eligible to participate in this Promotion.
3. Promotion Period
3.1. The Promotion is valid for Demos completed between July 1, 2026 and December 31, 2026 (the “Promotion Period”). Engine reserves the right to extend or shorten the Promotion Period upon notice to WEX. The Promotion will terminate automatically upon the earlier of (a) the expiration of the Promotion Period or (b) the date on which the aggregate value of Travel Credits issued reaches $10,000.00.
4. Incentive
4.1. Eligible participants who complete a Demo during the Promotion Period will receive $200.00 in hotel booking credits applicable to the Engine platform (“Travel Credits”), subject to availability and the aggregate cap described in Section 3 above.
4.2. Travel Credits will be applied to the participant’s Engine account by an Engine account executive or Engine partnerships team member following verification of a completed Demo.
4.3. Travel Credits are subject to Engine’s standard terms and conditions applicable to promotional credits, including any expiration date, booking restrictions, and minimum stay requirements, as determined by Engine in its sole discretion.
5. Limitations and Restrictions
5.1. Incentive Limitations:
5.1.1. Maximum of one (1) Travel Credit award per business.
5.1.2. Travel Credits have no cash value and are non-transferable.
5.1.3. Travel Credits may only be used for hotel bookings made through the Engine platform.
5.1.4. The total aggregate value of Travel Credits issued under this Promotion shall not exceed $10,000.00. Engine has no obligation to issue Travel Credits once this cap is reached.
6. Compliance and Conduct
6.1. Participants must comply with all applicable laws, regulations, and Engine policies.
6.2. Engine reserves the right to disqualify any participant who:

6.2.2. Engages in fraudulent or deceptive practices
6.2.3. Attempts to manipulate the Promotion
7. Intellectual Property
7.1. All materials, logos, and branding associated with the Promotion remain the property of Engine or WEX, as applicable.
7.2. Participants grant Engine permission to use their name and participation details for promotional purposes related to this campaign.
8. Liability and Disclaimers
8.1. Limitation of Liability: Engine’s total liability under this Promotion shall not exceed the value of the Travel Credits received by the participant.
8.2. Disclaimer: Engine makes no warranties, express or implied, regarding the Travel Credits or their fitness for a particular purpose.
8.3. Indemnification: Participants agree to indemnify and hold Engine harmless from any claims arising from their participation in the Promotion.
9. Data Protection
9.1. All personal and organizational data collected in connection with this Promotion will be processed in accordance with Engine’s Privacy Policy.
9.2. By participating, you consent to Engine’s collection and use of your information for Promotion administration and marketing purposes.
10. Modifications
10.1. Engine reserves the right to modify these Terms and Conditions at any time. Modifications will be effective upon posting to the Engine website.
10.2. Continued participation in the Promotion after modifications constitutes acceptance of the updated terms.

12. Disputes
THIS PROMOTION IS GOVERNED BY THE LAWS OF THE UNITED STATES OF AMERICA AND COLORADO, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Promotion, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Promotion, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Denver, Colorado having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys’ fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Promotion), and participant further waives all rights to have damages multiplied or increased.
13. Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14. Entire Agreement
These Terms and Conditions, together with Engine’s standard Terms of Service, constitute the entire agreement between the parties regarding the WEX Co-Marketing Promotion.
By participating in the WEX Co-Marketing Promotion, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
